Transactions with related parties
Procedure relating to transactions involving interests of directors and statutory auditors and transactions with related parties
In March 2010, Consob approved a Regulation Pursuant to Article 2391-bis of the Civil Code that requires listed companies to adopt – by December 1, 2010 – procedures to ensure transparency and substantial and procedural fairness of transactions with related parties.
This procedure was approved by the Board of Directors of Sorin S.p.A. at its meeting of October 26, 2010, pursuant to art. 2391-bis cc, pursuant to the Consob Regulation and pursuant to art. 9.C.1 of the Auto Disciplinary Code (Codice di Autodisciplina).
The adopted procedure reproduces mostly the definitions and provisions of the Consob Regulation, and sets out the principles which Sorin follows in order to ensure transparency and substantial and procedural fairness in relation to related party transactions entered into directly or through subsidiaries.
